These general conditions of sale govern all Focus nIndustrie's relations with its clients, which are deemed to consent on acceptance of the offer, that is to say from the date of the order.

ARTICLE 1: OPPOSABILITY

Except where otherwise stated and confirmed in writing, all sales agreed fall under the clauses and General Terms and Conditions of Sale detailed below.

ARTICLE 2: TIME LIMIT FOR EXECUTION - DELIVERY

The time limits for execution and delivery operate depending on availability. The time limits are given as a rough guide, as accurately as possible. In the event that these time limits are overrun, no compensation or damages will be paid, neither will any holdback or cancellation of outstanding orders be carried out.

All risks or losses or damages to merchandise delivered are transferred to the customer as soon as the merchandise leaves the seller's warehouse.

In the event that a delivery is handled by a transporter, it is the customer's responsibility to make any checks necessary and to confirm their reservations in accordance with article 105 and following articles of the Commercial Code. In the event that the addressee does not respect this clause, they will be held fully responsible.

ARTICLE 3: GUARANTEE

Our materials are guaranteed against all manufacturing faults. Any faults found by the buyer must be reported in writing within eight days of receipt of the material. The material can only be re-dispatched with the agreement of the seller.

This guarantee is limited to the repair or replacement of the parts or elements regcognised to be faulty by our technical department. Our responsibility is limited to our guarantee as set out above and we are in no way liable in the event of material or personal damage or harm caused by the recognised faults. Any repairs, modifications or replacement of parts during the period covered by the guarantee does not prolong this guarantee.

ARTICLE 4 PRICE- PAYMENT

Our merchandise is supplied at the price quoted at the time of ordering.

All payments are made at the seller's premises, shipping and packaging costs are payable by the customer.

Our invoices are payable in accordance with our terms and conditions as agreed by the customer when your account is set up, except for the first invoice which is payable by cheque at the time of ordering.

All sums owing on the payment date will be subject to:

- late payment charges at a rate of 1 and a half times the legal interest rate This interest will accrue from the date of due payment until the date that actual payment is cleared.
- request for immediate payment of the total sum owing in the case of staggered payments
- immediate request of all invoices not yet overdue
- suspension of any orders in progress

Any deterioration of customer credit entitles us, should we consider it necessary, to change payment dates or to demand a guarantee.

ARTICLE 5: RESERVATION OF TITLE CLAUSE

It is expressly agreed that the seller retains full and exclusive property rights over the merchandise sold until full payment of its price is received.

As from the moment that the merchandise is removed from our premises, the buyer is responsible for any damages that may occur to this merchandise, all risks being transferred to them. In the event of any claim or recovery of the merchandise, all sums received by the seller will be retained in return for the use of the material that the buyer will have already benefitted from.

ARTICLE 6: ASSIGNMENT OF JURISDICTION

All disputes will be heard exclusively before the Trade Court of Dunkerque where French law will be applied.
